Terms and Conditions of Use

Know the terms of use and responsibilities when accessing and using the Linkana platform.

Welcome to Linkana. We are glad to have you here and hope you enjoy everything our platform has to offer.

Please read these Terms carefully. They constitute a binding contract between you and Linkana Tecnologia Ltda., a limited liability company registered under CNPJ nº 32.138.431/0001-05, headquartered at Alameda Vicente Pinzon, nº 54, Vila Olímpia, São Paulo/SP, Brazil (“Linkana”, “we”, “us”).

By accessing or using the Linkana Platform (“Platform”), you agree to these Terms of Use and to our Privacy Policy, which explains how we process personal data, as well as to our publicly available Security Policy. If you do not agree with these Terms, you should not use the Platform.


1. Eligibility and Acceptance

1.1. By using the Platform, you represent that you:

  • are at least 18 years old; or

  • are an emancipated minor or have parental/legal guardian authorization; and

  • are fully capable of entering into these Terms and complying with your obligations.

1.2. You agree to comply with all applicable laws and all rules governing use of the Platform. You release Linkana from any liability, joint or several, arising from your misuse of the Platform or violation of these Terms or our Privacy Policy.

1.3. Your acceptance of these Terms occurs when you:

  • register on the Platform, by selecting the acceptance option; or

  • access, browse, or use the Platform in any manner.


2. Definitions

For purposes of these Terms:

  • Platform: The cloud-based environment accessed through login and password or other authentication methods (e.g., Single Sign-On), used for submitting, managing, and viewing data and documents related to Buyer–Supplier relationships.

  • User: Any individual or legal entity that uses the Platform, including Buyers and Suppliers.

  • Buyer: A User who uses the Platform to access, analyze, or manage information about suppliers, service providers, or business partners.

  • Supplier: A User who submits documents and information (public or private) to Linkana through the Platform, to be made available to potential or existing Buyers.

  • Public Information and Documents: Information collected from official or public sources (e.g., government agencies, registries, courts), including certificates, corporate filings, legal records, and similar data.

  • Private Information and Documents: Corporate or personal information submitted by Users for business or commercial purposes through the Platform, including confidential or restricted content.

  • Personal Data: Any information relating to an identified or identifiable natural person, as defined under the Brazilian LGPD, GDPR, and other applicable privacy laws.

  • Sensitive Personal Data: Personal data classified as sensitive under the LGPD or GDPR, such as data relating to health, ethnic or racial origin, special needs/disabilities, or sexual orientation.


3. About Linkana and the Platform

3.1. Linkana provides a Software as a Service (SaaS) solution that automates and simplifies processes related to supplier onboarding, qualification, validation, and lifecycle management.

3.2. Linkana does not provide legal, accounting, auditing, or financial advisory services. Information provided on the Platform does not constitute legal or professional advice.

3.3. Regarding Personal Data, Linkana may act:

  • as a controller, when defining the purposes and means of processing (e.g., User account data, logs, security monitoring); and/or

  • as a processor, when processing personal data on behalf of a Buyer, in accordance with contract instructions.

Details regarding processing, legal bases, and rights of data subjects are specified in our Privacy Policy, which forms an integral part of these Terms.

3.4. Linkana will not access, analyze, or disclose Private Information and Documents without proper authorization, in compliance with these Terms, our Privacy Policy, and applicable law.


4. Registration, Account Security, and User Responsibilities

4.1. When registering and while using the Platform, you must provide accurate, complete, and updated information. You are solely responsible for the accuracy and maintenance of your information.

4.2. Access to the Platform requires individual credentials (login and password) or secure authentication mechanisms (e.g., SSO). Account sharing is strictly prohibited.

4.3. You agree to:

  • keep your password confidential and use strong, unique passwords;

  • avoid reusing passwords from other services;

  • immediately notify Linkana of any suspected unauthorized access via dpo@linkana.com;

  • adopt reasonable security measures on your own devices and networks (e.g., antivirus, system updates).

4.4. Linkana recommends secure authentication methods such as:

  • Single Sign-On (SSO);

  • passwordless authentication;

  • multi-factor authentication (MFA), when available.

4.5. Linkana is not responsible for damages arising from:

  • misuse or sharing of credentials;

  • malware or compromised devices;

  • failures in internet connection or User infrastructure;

  • attacks or failures outside Linkana’s control.

4.6. Linkana may suspend or block access temporarily or permanently if:

  • fraudulent or unauthorized activity is suspected;

  • security incidents occur;

  • the User violates these Terms;

  • legally required.


5. Platform Use Restrictions

5.1. You agree to use the Platform only for lawful, legitimate purposes, in compliance with these Terms and all applicable laws.

5.2. You agree not to:

  • use the Platform for unlawful or harmful activities;

  • attempt unauthorized access to the Platform, accounts, data, or systems;

  • introduce viruses, malware, malicious scripts, or harmful code;

  • interfere with Platform security features;

  • copy, reproduce, modify, reverse engineer, decompile, or create derivative works from the Platform unless legally permitted.

5.3. Intellectual Property: Using the Platform does not grant you any rights over Linkana’s intellectual property, including software, code, design, trademarks, or any content. Any feedback, suggestions, or proposed features may be freely used by Linkana without compensation.

5.4. Linkana may modify, update, or discontinue features at any time, with or without prior notice, except where limited by a valid contract.

5.5. Linkana is not responsible for the accuracy of Private Information and Documents submitted by Users. Users are solely liable for false, incomplete, or unlawful information.


6. Public Information, Private Information, and Personal Data

6.1. Linkana may consult and aggregate Public Information and Documents from official sources. We do not control the content, availability, accuracy, or reliability of such sources and are not responsible for errors or outages in external systems.

6.2. Private Information and Documents and Personal Data submitted by Users will be handled in accordance with:

  • these Terms;

  • the Privacy Policy;

  • applicable contracts;

  • LGPD, GDPR, and other privacy laws.

6.3. Linkana will provide Buyers with access to Private Information and Documents submitted by Suppliers only when legally permitted or appropriately authorized.

6.4. Buyers are fully responsible for:

  • using Supplier information only for legitimate business purposes;

  • complying with privacy obligations as data controllers;

  • safeguarding Supplier information;

  • any misuse of Private Information or Personal Data obtained through the Platform.


7. SaaS Model, Pricing, Trials, and Availability

7.1. Buyer access to the Platform is provided under a Software as a Service (SaaS) subscription. Supplier access may be free or paid depending on commercial agreements.

7.2. Linkana may offer temporary trials at its discretion, depending on commercial terms.

7.3. After a trial ends, access may be blocked unless a subscription is executed.

7.4. Prices and commercial conditions may be updated at any time, except for active contracts with agreed terms.

7.5. Payments must follow the conditions displayed at the time of contracting or defined in the agreement.

7.6. Linkana uses industry-leading cloud providers to offer best-effort availability. However, outages and service degradation may occur due to factors beyond our control (provider outages, cyberattacks, network failures, force majeure).

7.7. Linkana does not guarantee uninterrupted or error-free operation. Liability for downtime or errors is limited to the amount actually paid by the User/Client for the affected service, excluding indirect damages, lost profits, or moral damages, except where otherwise required by law.


8. Information Security

8.1. Linkana maintains a Security Program aligned with international standards (including ISO 27001 and ISO 27017), described in our public Information Security Policy.

8.2. Security measures include, among others:

  • encryption of data in transit and at rest;

  • least-privilege access control;

  • multi-factor authentication (MFA) for critical systems;

  • continuous monitoring and security logging;

  • vulnerability management and secure development practices;

  • backups and disaster recovery procedures.

8.3. In the event of a security incident involving Personal Data that may pose risk or harm to data subjects, Linkana will follow its Incident Response Plan and notify Clients, data subjects, and authorities as required by law.

8.4. Users are also responsible for adopting reasonable security measures in their own environments.


9. Termination, Suspension, and Deletion of Data

9.1. Linkana may limit, suspend, or terminate access to the Platform if:

  • the User violates these Terms;

  • contractual payments are overdue by more than 90 days;

  • the User engages in harmful or unlawful activities;

  • required by law or regulation.

9.2. In the event of termination, unless otherwise specified in contract:

  • User information will remain available for 90 days;

  • after that, data will be deleted or anonymized, subject to legal retention obligations.

9.3. Users may request deletion of Personal Data or Private Information, subject to:

  • compliance with legal retention requirements;

  • contractual obligations;

  • settlement of outstanding financial obligations.

Requests follow the procedures described in the Privacy Policy.


10. General Provisions

10.1. Linkana may update these Terms at any time. The updated version will be published on the Platform and/or official communication channels.

10.2. Continued use of the Platform after updates indicates acceptance of the revised Terms.

10.3. Failure by Linkana to enforce any provision at any time shall not be construed as a waiver.

10.4. If any provision of these Terms is held invalid, the remaining provisions remain fully enforceable.

10.5. These Terms are governed by the laws of Brazil, and any dispute shall be resolved exclusively in the courts of São Paulo, SP, Brazil.

10.6. Users must maintain:

  • internet access compatible with cloud solutions;

  • updated browsers (latest versions of Microsoft Edge, Google Chrome, Mozilla Firefox, or Apple Safari);

  • firewall and network settings that allow use of the Platform.

10.7. All communications related to these Terms, including questions or complaints, may be sent to our Data Protection Officer (DPO):
